Boston Ventures to Acquire SJI, LLC
August 28, 2007 -- Boston Ventures announced today that it has reached a definitive agreement to acquire SJI, LLC (“SJI”), a private telecommunications and broadband services provider serving southern Louisiana. Through its various subsidiaries, SJI provides a full suite of communication services to residential and commercial customers, including local and long distance telephone service, high speed internet access, digital video as well as other commercial data services. Boston Ventures, a private equity firm focused on the media and communications industries, will acquire the company from the Pat Brady family. The Brady family has owned the company since 1945. The transaction is expected to close following customary regulatory approvals. Financial terms were not disclosed.
Jordan buys PRG for $600M

Integra Telecom, Inc. Secures $245 Million in New Equity Investment
August 14, 2007-- Integra Telecom, Inc., a leading provider of voice, data and Internet communications to business and carrier customers, and its major shareholders have signed agreements with Warburg Pincus, a global private equity firm, whereby Warburg Pincus will invest at least $245 million to obtain a substantial equity interest in Integra Telecom. The proceeds from this transaction will be paid to certain existing Integra investors in exchange for outstanding shares. Integra Telecom will continue to operate as a privately held company and will not raise any primary equity in this transaction.
Verizon Wireless To Acquire Rural Cellular Corporation, Expand The Nation’s Most Reliable Wireless Network
July 30, 2007 -- In a move to expand its wireless service coverage in rural markets, Verizon Wireless, a joint venture of Verizon Communications (NYSE:VZ) and Vodafone (NYSE and LSE: VOD), announced today that it has entered into an agreement to acquire Rural Cellular Corporation (NASDAQ:RCCC), for approximately $2.67 billion in cash and assumed debt.

Television Station Group Holdings, LLC completes the sale of WTAJ Channel 10
January 3, 2007 -- Boston Ventures and Alta Communications today announced that one of their portfolio companies, Television Station Group Holdings, LLC (“TSG” or the “Company”), has completed the sale of station WTAJ Channel 10, the CBS affiliate in Altoona/Johnstown, Pennsylvania, to Nexstar Broadcasting Group, Inc. (NASDAQ: NXST) for approximately $56 million.
The sale of WTAJ represents final station sale for TSG. The Company previously sold its television station WBNG Channel 12, the CBS affiliate in Binghamton, New York, to Granite Broadcasting Corporation (OTC: GBTVK) for $45 million in July 2006. Additionally, in May 2002, TSG sold its Charleston, West Virginia station, WOWK, for $41.5 million.
New Track Media LLC Acquires Quilting Publisher Fons & Porter

The core of the
business, Fons & Porter’s Love of Quilting, is the country’s largest magazine for quilting enthusiasts. Terms of the transaction were not disclosed.

Vue Entertainment Announces Management Buyout
June 20, 2006 -- Vue
Entertainment, the UK’s leading developer and operator of state-of-the-art
cinemas, today announced a management buyout in partnership with Bank of Scotland
Corporate, through its Integrated Finance Team. The Bank has backed the incumbent
management team, led by CEO Tim Richards, in a deal valued in the region of £350
million and is taking a minority stake in the business. This transaction sees
the sale of the shareholdings of previous investors Boston Ventures, Clarity
Partners and Legal & General Ventures to Vue Entertainment and Bank of Scotland
with Vue’s management team holding a controlling 51% of the company.

March 15, 2006 -- Boston Ventures announced that the sale of Marshall & Swift to MacDonald Dettwiler & Associates has been completed today with the receipt of US$90 million, representing the full realization of the earnout. Marshall & Swift was sold to MacDonald, Dettwiler & Associates for a fixed cash payment of US$250 million plus the assumption of bank debt and all other liabilities by MDA (estimated at approximately $30 million) with an additional payment of up to US$90 million, based on Marshall & Swift’s 2005 financial performance.
